Please read these Terms and Conditions carefully before using nudge.reviews. By creating an account or using the service, you agree to be bound by these terms.

1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement between you and Nudge, the operator of nudge.reviews. By accessing or using the service, you confirm that you have read, understood, and agree to these Terms.

2. Description of Service

Nudge is a software-as-a-service platform that helps local businesses send automated SMS messages requesting Google reviews.

  • A dashboard for managing review requests
  • Automated SMS delivery via Twilio
  • Click tracking and analytics
  • Automated follow-up SMS after a delay
  • Subscription billing management

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business you represent.

4. Account Registration

You agree to provide accurate information, maintain the security of your account, and accept responsibility for activity that occurs under it.

5. Subscriptions and Billing

Plans:

  • Trial — 14 days free, no credit card required
  • Starter — $49/month, up to 100 SMS review requests per month
  • Pro — $79/month, unlimited SMS review requests

Subscriptions are billed monthly in advance. You may cancel at any time through the billing portal. We do not provide refunds for partial months.

6. SMS Messaging — Your Responsibilities

By using Nudge to send SMS messages, you represent and warrant that:

  • You have obtained valid prior express written consent from each recipient
  • You only send messages to customers with a genuine, recent business relationship
  • You promptly honour opt-out requests
  • Your messages accurately identify your business as the sender
  • Your use of the service complies with the TCPA, CAN-SPAM, and all other applicable laws

You are solely responsible for your compliance with SMS marketing laws.

7. Acceptable Use

  • Do not send messages to people who have not consented
  • Do not send spam or unrelated unsolicited messages
  • Do not harass, threaten, or abuse any individual
  • Do not impersonate another person or entity
  • Do not use the service for illegal, harmful, defamatory, or fraudulent content
  • Do not reverse engineer, resell, or interfere with the service

8. Intellectual Property

The service, including its design, code, trademarks, and content, is owned by Nudge. You retain ownership of the customer data you upload, and grant us a limited licence to process it solely to provide the service.

9. Data and Privacy

Your use of the service is also governed by our Privacy Policy.

10. Third-Party Services

The service relies on third-party providers including Twilio, Stripe, Supabase, and Vercel. We are not responsible for downtime or other issues caused by those providers.

11. Service Availability

The service is provided "as is" and "as available". We aim for high availability but do not guarantee uninterrupted operation.

12. Disclaimer of Warranties

To the maximum extent permitted by law, the service is provided "as is" and "as available" without warranties of any kind, express or implied.

13. Limitation of Liability

To the maximum extent permitted by law, Nudge will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the service.

Our total cumulative liability will not exceed the amount you paid us in the three months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless Nudge from claims, losses, and expenses arising out of your use of the service or violation of these Terms or applicable law.

15. Termination

Either party may terminate the agreement at any time. Upon termination, your right to use the service ceases immediately. We retain data for 30 days after termination, after which it will be deleted.

16. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which Nudge is incorporated. Any disputes should first be addressed through good-faith negotiation before further formal dispute resolution.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-product notice.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Nudge regarding the service.
